- When any entity/startup that wants to do a business operation in India gets registered with the Government of India, it is called Company Registration.

APPLICATION FOR NAME AVAILABILITY :
This application for name approval has to fill in form SPICe 32 with Registrar. If the proposed name is available with the Registrar of Companies, the name is then approved. MCA has issued a web-based application named RUN (Reserve Unique Name), which simplified companies name approval process. -
OBTAINING A DIGITAL SIGNATURE CERTIFICATE(DSC):
At least one of the directors must obtain DSC. This certificate is essential as we do all online registration processes, so the certificate serves as proof of the individual's identity to access and sign documents digitally.
Types of DSC are:-
Class 2: For the verified identity of the person.
Class 3: For proof to present himself/ herself in front of the Registration Authority. -
CREATE CHARTER DOCUMENTS (MOA & AOA):
MEMORANDUM OF ASSOCIATION: This document contains the necessary details of the company required at the time of Company Registration. It lists the powers and objectives of the company and its relationship with outsiders. It cannot be amended.
ARTICLES OF ASSOCIATION: Rules and regulations designed by the company are in this document. The document contains details of laws that will govern the company, its management, internal affairs, and conduct. It can be amended retrospectively. -
OBTAINING DIRECTOR IDENTIFICATION NUMBER (DIN):
DIN is issued to the Director of the company. For availing, DIN proposed Director should fill SPICe form. DIN contains details of name & address proof of Directors. -
APPLICATION FOR COMPANY REGISTRATION:
FORM is to be filed with the Registrar in whose jurisdiction Registered office of the company is there.
E- form SPICe (INC-32) along with E-form INC-33(MOA) and E-form INC-34(AOA). MCA introduces sPICe form INC- 32 for electronic Company Registration. This single form allows for Reservation of name, application of DIN, and incorporation of the company
Documents containing MOA, AOA, directors details, identity proof, address proofs to be submitted with INC-32, which is further processed by MCA Central processing center. If the application is approved, CIN (CORPORATE IDENTITY NUMBER) is allotted along with PAN, TAN, and DIN to directors.
The Applicant for company registration has to get FORM INC-32 digitally signed by Chartered Accountant, Cost Accountant, Company Secretary, or advocate who declare that all information in the form is correct.
